Terms of Service

This is a reference translation provided for convenience. The Japanese version is the authoritative text and prevails in the event of any discrepancy.
By using BarOps (hereinafter the "Service"), the user agrees to the terms set forth below (hereinafter these "Terms").
Article 1 (Application)
These Terms apply to all users of the Service (owners, staff, and members).
Article 2 (Services Provided)
The Service is a store-operations service for bars and lounges that brings bottle-keep, inventory, customer, and staff management together on a single screen. Specifically, it provides features such as inventory management across three axes—brand, shelf, and customer—photo matching, expiration notifications, stocktaking, customer (member) management, and staff (account and permission) management. Accounting and point-of-sale are assumed to be handled by your existing POS.
The Service does not include the following operations:
- Recording of shot orders and cocktail sales
- Accounting and point-of-sale functions
- Management of food items (cover charges, snacks, and the like)
- Shift management and clock-in/clock-out
- Automatic integration with a POS or accounting software
For the operations above we recommend using an existing POS such as Square or Airレジ, and for shift management a dedicated shift-management tool.
Article 3 (Account Registration)
- Users must register with accurate information.
- Each account is to be used by a single individual or a single store, and transferring or lending it to third parties is prohibited.
- Users are responsible for managing their passwords.
Article 4 (Fees)
The fee plans for the Service and any revisions thereto shall follow the separately established fee schedule or the information displayed within the Service.
- Payments shall be made by credit card via Stripe.
- You may cancel at any time. As a rule, no pro-rated refunds are provided.
- The Free plan has feature limitations.
Article 5 (Prohibited Acts)
Users must not engage in any of the following:
- Acts that violate laws, regulations, or public order and morals
- Acts that infringe the privacy, portrait rights, or copyrights of other users or third parties
- Acts that place an improper load on the Service's servers or network
- Reverse-engineering the Service
- Use of automated tools (such as crawlers) that we have not authorized in advance
- Selling illegal goods through the Service (such as providing alcohol to minors)
Article 6 (Intellectual Property Rights)
All intellectual property rights relating to the Service belong to us or to the rightful rights holders, and users are granted only the right to use the Service within the scope set forth in these Terms.
Article 7 (Disclaimer)
- The Service is provided "as is," and we do not warrant its completeness, accuracy, or usefulness.
- We are not liable for any damages caused by natural disasters, communication failures, or failures of third-party services (such as Firebase, Stripe, or SendGrid).
- We have no obligation to intervene in disputes between users or with third parties.
- Even where we bear liability, it shall be limited to the total amount of fees the user paid to us during the most recent 12 months.
Article 8 (Changes to and Suspension of the Service)
We may change, suspend, or terminate the content of the Service upon prior notice. For significant changes, we will endeavor to give notice a reasonable period in advance.
Article 9 (Amendment of the Terms)
We may revise these Terms. The revised Terms take effect from the time they are published within the Service. If a user uses the Service after a revision, the user is deemed to have agreed to the revised Terms.
Article 10 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive agreed jurisdiction of the court having jurisdiction over the location of our head office as the court of first instance.
